We are seeking an experienced and meticulous Company Secretary to join our client in Singapore. This role is integral to ensuring compliance with statutory and regulatory requirements and supporting the organisation’s corporate governance framework. The ideal candidate will bring a strong background in corporate secretarial work, preferably within the infrastructure, real estate, or technology sectors.

Key Responsibilities:
- Ensure compliance with all relevant statutory and regulatory obligations, including the Companies Act, ACRA filings, and MAS regulations (where applicable).
- Organise and manage Board of Directors, Committee, and Shareholder meetings, including preparing agendas, taking minutes, and maintaining accurate records.
- Liaise with internal stakeholders and external counsel to support legal and governance matters.
- Maintain and update statutory registers and corporate records for the company and its subsidiaries.
- Coordinate the execution of resolutions and other legal documentation.
- Advise the Board and senior management on corporate governance best practices and regulatory updates.
- Support corporate transactions such as incorporations, mergers, acquisitions, and restructuring activities.
- Act as a key liaison for auditors, regulators, and other third parties regarding corporate secretarial matters.

Key Requirements:
- Degree/diploma in Law, Business Administration, or related disciplines.
- ICSA/SAICSA qualification or equivalent is preferred, not a must.
- Minimum 5 years of relevant experience in a corporate secretarial role, ideally within a multinational company or professional services firm.
- Strong understanding of Singapore corporate law, regulatory requirements, and corporate governance practices.
- Excellent written and verbal communication skills.
- Highly organised with a keen attention to detail and the ability to handle sensitive and confidential information with discretion.
- Proficient in Microsoft Office and familiar with digital board portals (e.g., BoardVantage, Diligent).
